Terms & conditions
Website use and general terms for AS Code services (UK & international clients).
Last updated: 3 October 2026
These terms and conditions (“Terms”) govern your use of ascodeuk.com and set out the general legal framework for AS Code services. Specific projects are also subject to statements of work, proposals, or master service agreements where signed or accepted in writing.
By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or our services.
1. About AS Code
AS Code provides IT services, digital marketing, consultancy (including visa and business setup guidance), and employment programme support for clients in the United Kingdom, Europe, and selected international markets.
References to “you” mean the individual or organisation using the website or purchasing services. “Services” means professional services described on the site, in proposals, or in signed agreements.
2. Website use
Content on this website is for general information. It does not constitute legal, immigration, tax, or financial advice unless explicitly agreed in a paid engagement.
You must not misuse the site: no unlawful access, scraping that impairs performance, introduction of malware, or infringement of our or third-party intellectual property.
We may update, suspend, or withdraw pages without notice. External product sites linked from our homepage are operated separately and have their own terms.
3. Services and engagements
- Scope, deliverables, timelines, fees, and acceptance criteria are defined in the applicable statement of work or contract.
- Estimates and website copy are not binding offers until confirmed in writing.
- We may use skilled subcontractors and offshore delivery (including Dhaka) while remaining responsible to you under the contract.
- Third-party licences (software, ad platforms, hosting) may be required at your cost unless otherwise agreed.
4. Client responsibilities
- Provide timely access, content, approvals, and accurate information required for delivery.
- Ensure you have rights to materials you supply (brand assets, data, creative).
- Maintain appropriate backups and security for systems outside our agreed scope.
- Comply with applicable laws (including marketing consent, employment law, and immigration rules) in your jurisdiction.
5. Fees, invoicing, and payment
Fees are as quoted in GBP or other agreed currency. Unless stated otherwise, invoices are payable within 14 days of issue.
Late payment may incur interest at the statutory rate applicable in England and Wales and suspension of work after reasonable notice.
Fixed-price work may require change control for out-of-scope requests. Time-and-materials work is billed per agreed rates.
You are responsible for bank charges, VAT or local taxes unless we state tax treatment on the invoice.
6. Intellectual property
Our materials
We retain ownership of pre-existing tools, frameworks, methodologies, and general know-how. We grant you a licence to use deliverables as specified in your contract upon full payment.
Your materials
You retain ownership of content and data you provide. You grant us a licence to use them as needed to perform the Services.
Third-party IP
Open-source, stock, font, and platform assets remain subject to their respective licences. We will flag material third-party dependencies where practical.
7. Confidentiality
Each party will protect the other’s confidential information using reasonable care and use it only for the engagement. Exclusions apply for public information, independently developed knowledge, and disclosures required by law.
Mutual NDAs in project contracts supersede this section where they provide stronger protection.
8. Data protection
Each party will comply with applicable data protection law. Our privacy policy describes how we handle personal data when we act as controller.
Where we process personal data on your behalf, a data processing agreement will apply. You are responsible for lawful bases and notices to your end users where you are controller.
9. Warranties and disclaimers
We will perform Services with reasonable skill and care in line with industry standards for IT and marketing professionals.
Except as expressly stated in a signed contract, the website and general marketing materials are provided “as is”. We do not guarantee specific rankings, revenue outcomes, visa approvals, or employment placements—those depend on many external factors.
We do not warrant uninterrupted or error-free operation of third-party platforms (Google, Meta, hosting providers, government portals).
10. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
Subject to the above, our total aggregate liability arising from or related to an engagement is limited to the fees paid by you for that engagement in the twelve (12) months preceding the claim, unless a signed contract states a different cap.
We are not liable for indirect or consequential loss, loss of profit, revenue, data, or goodwill, except where such exclusion is prohibited.
11. Indemnity
You will indemnify us against claims arising from materials you supply, your unlawful use of deliverables, or breach of these Terms, except to the extent caused by our negligence or wilful misconduct.
12. Termination
Either party may terminate a fixed engagement per the contract or, for ongoing services, on agreed notice. We may suspend Services for material breach or non-payment after notice.
On termination, you pay for work performed and committed costs to date. Clauses intended to survive (confidentiality, IP, liability, governing law) continue.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control (including outages, natural events, war, civil unrest, or government action), provided reasonable mitigation efforts are taken.
14. Governing law and disputes
These Terms and non-contractual disputes are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections if you qualify as a consumer in your home country.
We prefer to resolve disputes amicably—contact us first at the email below.
15. General
- If any provision is invalid, the remainder stays in effect.
- Failure to enforce a right is not a waiver.
- You may not assign these Terms without our consent; we may assign to a successor entity.
- These Terms together with applicable contracts constitute the entire agreement regarding website use unless otherwise stated.
